End User License Agreement

Subject to the terms of this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business operations related to towing and roadside assistance management.

You may not:
* Copy, modify, distribute, sell, or lease any part of the Software.
* Reverse engineer, decompile, or disassemble the Software.
* Use the Software for any unlawful purpose or in violation of any applicable laws.
* Sublicense or transfer your rights under this Agreement to any third party.
* Remove or alter any proprietary notices, labels, or marks on the Software.

Account Responsibility:

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Data Ownership:

You retain all ownership rights to the data you input into the Software, including but not limited to customer information, call records, invoicing data, and financial records. We do not claim ownership of your data.

Data Processing:

By using the Software, you consent to the collection, processing, and storage of data as described in our Privacy Policy. We will handle your data in accordance with applicable data protection laws.

The Software may integrate with third-party services, including but not limited to QuickBooks Online (Intuit Inc.), payment processors, mapping services, and communication platforms.

QuickBooks Online Integration:

When you connect your QuickBooks Online account to the Software, you authorize us to access and transmit data (including customer records, invoices, and payment information) between the Software and your QuickBooks Online account on your behalf. This integration is subject to Intuit's own terms of service and privacy policy. You may disconnect this integration at any time from the Software settings.

Third-Party Terms:

Your use of any third-party integration is subject to the respective third party's terms of service and privacy policy. We are not responsible for the availability, accuracy, or practices of third-party services.

Data Sharing:

We only share your data with third-party services when you explicitly authorize the integration. We do not sell, rent, or trade your data to any third party for marketing purposes.

Access to the Software requires an active subscription. Subscription fees, billing cycles, and payment terms are as specified at the time of purchase or as otherwise communicated to you.

* All fees are non-refundable except as required by applicable law.
* We reserve the right to modify pricing with reasonable advance notice.
* Failure to pay may result in suspension or termination of your access to the Software.

The Software, including its code, design, graphics, logos, and documentation, is the exclusive property of TowMasters Software, LLC and is protected by copyright, trademark, and other intellectual property laws.

This Agreement does not grant you any rights to our trademarks, service marks, or trade names. All rights not expressly granted in this Agreement are reserved by the Company.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be uninterrupted, error-free, or free of harmful components. You use the Software at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOWMASTERS CORP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.

Our total liability for any claim arising under this Agreement shall not exceed the amount you paid to us for the Software during the twelve (12) months preceding the claim.

We may terminate or suspend your access to the Software at any time, with or without cause, upon reasonable notice. You may terminate this Agreement by discontinuing use of the Software and closing your account.

Upon termination:
* Your license to use the Software will immediately cease.
* You may request a copy of your data within 30 days of termination.
* We may delete your data after the 30-day period unless required by law to retain it.

This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved in the courts of competent jurisdiction.

We reserve the right to modify this Agreement at any time. We will provide notice of material changes by posting the updated Agreement on our website and updating the "Last Updated" date. Your continued use of the Software after such changes constitutes acceptance of the modified Agreement.
